Welcome to HolyMouthwash. These Terms of Service ("Terms") govern your access to and use of our website at holymouthwash.com (the "Site") and any purchases you make from us. By using the Site or placing an order, you agree to these Terms.

Please read them carefully. Section 16 contains a binding arbitration agreement and a class action waiver that affect your legal rights if you are a US resident. If you do not agree, please do not use the Site or place an order.

References to "we," "us," or "our" in these Terms refer to Zero Point One LLC trading as HolyMouthwash. References to "you" or "your" refer to anyone using the Site or placing an order.

2. Where we sell

We sell and ship to customers in:

  • United States
  • Canada
  • United Kingdom
  • Republic of Ireland
  • Australia
  • New Zealand

If your country is not listed, we cannot accept your order. We may at our discretion expand or reduce the list of countries we serve at any time without notice.

3. Eligibility

By using the Site or placing an order, you confirm that:

  • You are at least 18 years old (or the age of majority in your jurisdiction, whichever is higher)
  • You are legally able to enter into a binding contract
  • You are not located in a country we do not ship to
  • The information you provide to us (shipping address, payment details, contact information) is accurate and complete

If you are under the age of 18, you may not use the Site or place an order, even with a parent's permission.

4. Your account

You may place orders as a guest or create an account. If you create an account:

  • You are responsible for keeping your login credentials secure
  • You are responsible for all activity that takes place under your account
  • You must notify us immediately if you believe your account has been compromised
  • We may suspend or terminate your account if we detect fraudulent activity or a breach of these Terms

We are not liable for losses resulting from unauthorized use of your account unless caused by our negligence.

5. Products and orders

Product information

We aim to describe our products accurately on the Site. However:

  • Product images are illustrative and actual products may vary slightly in packaging or appearance
  • Ingredient information is provided in good faith but is not medical advice
  • Our products are cosmetic oral care products, not medical devices, medicines, or treatments. They are not intended to diagnose, treat, cure, or prevent any disease
  • If you have specific medical conditions, allergies, or concerns, consult a healthcare professional before use

Placing an order

When you place an order:

  • You submit an offer to purchase the products at the price shown at checkout
  • We send you an order confirmation email acknowledging receipt
  • Our acceptance of your order takes effect only when we dispatch the products and send you a shipping confirmation email
  • A legally binding contract of sale is formed at the moment of dispatch

Our right to refuse orders

We reserve the right to refuse or cancel any order at our discretion, including:

  • Suspected fraudulent or unauthorized transactions
  • Pricing or listing errors on the Site
  • Stock availability issues
  • Shipping restrictions in your location
  • Violations of these Terms

If we refuse or cancel an order after payment, we will issue a full refund to your original payment method.

Pricing and errors

  • All prices are displayed in your local currency at checkout and include applicable VAT or sales tax where required by law
  • Shipping costs are calculated at checkout
  • If we discover a pricing error on the Site after your order, we will contact you and either honor the correct price (with your approval) or cancel the order with a full refund

6. Payment

We accept: Visa, Mastercard, American Express, PayPal, Apple Pay, and Google Pay.

Payment is processed through Shopify Payments and third-party payment providers. We do not store your full payment card details. By providing payment information, you confirm that you are authorized to use the payment method.

If your payment fails, is declined, or is reversed, we may:

  • Suspend processing of your order until valid payment is received
  • Cancel your order if payment cannot be resolved within a reasonable time
  • Pursue recovery of the owed amount through our payment processors or collections

7. Shipping and delivery

Shipping terms are described in detail in our Shipping Policy. Key points:

  • Delivery times are estimates and not guaranteed
  • Risk of loss transfers to you upon delivery to the address you provided
  • We are not liable for delays caused by carriers, customs, weather, or other factors outside our control
  • Customs duties and import taxes are the customer's responsibility

8. Returns and refunds

Our return and refund process is described in detail in our Refund & Return Policy. In summary:

  • 60-day satisfaction guarantee for used products (subject to documentation requirements)
  • 30-day standard return window for unused, sealed products
  • 14 days to report defective or damaged products

Your statutory rights under applicable consumer protection law are not affected by these Terms.

9. Intellectual property

All content on the Site — including text, images, logos, product photography, videos, designs, software, and trademarks — is owned by Zero Point One LLC or licensed to us. It is protected by copyright, trademark, and other intellectual property laws.

You may:

  • View and browse the Site for personal, non-commercial use
  • Share links to the Site on social media
  • Download content for personal use where we have clearly enabled that function

You may not:

  • Copy, reproduce, distribute, or republish our content without written permission
  • Use our trademarks, logos, or product imagery in your own commercial materials
  • Reverse engineer or scrape the Site
  • Use our content to train machine learning models without written permission

10. User content

If you submit content to the Site (for example: product reviews, photos, comments, feedback):

  • You retain ownership of your content
  • You grant us a worldwide, royalty-free, perpetual, sublicensable license to use, display, reproduce, modify, and distribute the content in connection with our business (including marketing)
  • You confirm that the content is yours to share, does not infringe anyone else's rights, and does not violate any law
  • You agree that your content may appear on our Site, in our marketing, or on our social media channels

We reserve the right to remove any user content at our discretion without notice.

11. Prohibited uses

You agree not to:

  • Use the Site for any unlawful purpose
  • Attempt to gain unauthorized access to our systems, servers, or databases
  • Interfere with the normal operation of the Site (e.g., DDoS attacks, malware, automated scraping)
  • Harass, threaten, or abuse our staff or other customers
  • Impersonate another person or entity
  • Submit false, misleading, or fraudulent information
  • Bulk-purchase products for commercial resale without our written permission
  • Violate any export control laws or sanctions

We reserve the right to suspend, ban, or take legal action against users who violate these Terms.

12. Disclaimers

General use of the Site

The Site is provided "as is" and "as available." We do not warrant that:

  • The Site will be uninterrupted, error-free, or secure at all times
  • Any content on the Site is accurate, complete, or up-to-date at all times
  • Defects or bugs will be corrected immediately

Our products

Our products are cosmetic oral care products. They are:

  • Not a substitute for professional dental or medical care
  • Not intended to diagnose, treat, cure, or prevent any disease
  • Not appropriate for everyone — individual results may vary

We strongly recommend:

  • Consulting a dentist or healthcare professional before starting a new oral care routine if you have any underlying conditions
  • Discontinuing use if you experience irritation or an adverse reaction
  • Not using our products as a replacement for professional dental treatment

Nothing in these disclaimers limits your statutory rights

If you are a consumer in the US, UK, EU (including Ireland), Canada, Australia, New Zealand, or any other jurisdiction where consumer protection law applies, nothing in these Terms limits rights that cannot be waived under applicable law. This specifically includes:

  • Your rights under the California Consumer Legal Remedies Act and other US state consumer protection laws
  • Your rights under the federal Magnuson-Moss Warranty Act
  • Your rights under the UK Consumer Rights Act 2015
  • Your rights under the EU Consumer Rights Directive (for Ireland and other EU residents)
  • Your rights under Canadian provincial consumer protection law
  • Your rights under the Australian Consumer Law
  • Your rights under the New Zealand Consumer Guarantees Act

13. Limitation of liability

To the maximum extent permitted by law, Zero Point One LLC's total liability to you for any claim arising from your use of the Site or our products is limited to the amount you paid for the product that is the subject of the claim.

We are not liable for:

  • Indirect, consequential, or incidental damages
  • Loss of profits, revenue, data, or business opportunity
  • Damages resulting from your misuse of our products or failure to follow the instructions provided

Nothing in this section limits liability that cannot be excluded under applicable law, including:

  • Liability for death or personal injury caused by our negligence
  • Liability for fraud or fraudulent misrepresentation
  • Liability for defective products under applicable consumer law
  • Liability under product liability law where exclusion is prohibited

14. Indemnity

You agree to indemnify and hold Zero Point One LLC, its officers, members, employees, and affiliates harmless from any claims, losses, or expenses (including reasonable legal fees) arising from:

  • Your breach of these Terms
  • Your misuse of the Site or our products
  • Your violation of any law or third-party right

This does not apply to claims where applicable law does not permit such indemnification.

15. Governing law and jurisdiction

These Terms and any dispute arising out of or relating to them, the Site, or our products are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

For customers in the United States: Subject to Section 16 below, any dispute that is not subject to arbitration shall be brought exclusively in the state or federal courts located in Sheridan County, Wyoming, and you consent to personal jurisdiction in those courts.

For customers in the United Kingdom, Ireland, the EU, Canada, Australia, and New Zealand: Although these Terms are governed by Wyoming law, as a consumer you retain all mandatory rights and protections that apply in your country of residence, including the right to bring proceedings in your home courts where local law gives you that right. Specifically, your rights under the following are not affected:

  • UK Consumer Rights Act 2015 (United Kingdom)
  • EU Consumer Rights Directive and national consumer protection laws (Ireland and other EU states)
  • Provincial consumer protection legislation (Canada)
  • Australian Consumer Law (Australia)
  • Consumer Guarantees Act 1993 (New Zealand)

16. Arbitration agreement and class action waiver (US customers)

This Section 16 applies only to customers resident in the United States. If you are not a US resident, this section does not apply to you, and you may skip ahead to Section 17.

16.1 Agreement to arbitrate. Except for the carve-outs in Section 16.5, you and Zero Point One LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Site, our products, or any aspect of our relationship — whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory — shall be resolved exclusively through final and binding individual arbitration, not in court.

16.2 Arbitration rules and forum. Arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, available at adr.org. The arbitration will be conducted by a single arbitrator. For claims under USD $10,000, you may choose to participate by telephone, video conference, or based on written submissions only. For larger claims, the arbitration will be held in Sheridan, Wyoming, unless we both agree otherwise. The arbitrator's decision is final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

16.3 Class action waiver. You and Zero Point One LLC each waive any right to bring or participate in any class, collective, or representative action. The arbitrator may not consolidate claims of multiple individuals or preside over any form of class or representative proceeding. If a court finds this class action waiver unenforceable as to any specific claim, that claim (and only that claim) must proceed in court rather than in arbitration; all other claims remain subject to arbitration.

16.4 Jury trial waiver. You and Zero Point One LLC each waive any right to a trial by jury for any claim subject to this Section 16.

16.5 Carve-outs. This arbitration agreement does not apply to: (a) claims that may be brought in small claims court, provided the claim remains in that court and is not escalated; (b) claims by either party to enforce or protect intellectual property rights, including trademarks, copyrights, trade secrets, or patents, in court; or (c) claims that applicable law prohibits from being arbitrated.

16.6 30-day opt-out. You may opt out of this arbitration agreement by sending written notice to support@holymouthwash.com with "Arbitration Opt-Out" in the subject line. Your notice must include your full name, mailing address, email address, and a clear statement that you wish to opt out of the arbitration agreement. To be effective:

  • If you are a new customer: notice must be sent within 30 days of your first order or account creation under these Terms
  • If you are an existing customer at the time these Terms first take effect: notice must be sent within 30 days of the effective date shown at the top of these Terms

Opting out does not affect any other provision of these Terms.

16.7 Informal dispute resolution (precondition). Before initiating arbitration, you agree to first contact us at support@holymouthwash.com with a written description of your dispute, allowing us 60 days to resolve the matter informally. The same applies to any claim we may bring against you. The 60-day informal resolution period is a precondition to filing arbitration. Any applicable statute of limitations is tolled during this period.

16.8 Federal Arbitration Act. This arbitration agreement is governed by the Federal Arbitration Act (9 U.S.C. § 1 et seq.) and evidences a transaction in interstate commerce.

17. Dispute resolution (non-US customers)

If you are not a US resident, before initiating any formal legal proceedings we ask that you contact us at support@holymouthwash.com so we have an opportunity to resolve the issue directly. Most disputes can be resolved through email within a few business days.

If a dispute cannot be resolved informally, you may pursue legal remedies available to you under applicable law, including in your home courts where local consumer law gives you that right.

18. Changes to these Terms

We may update these Terms from time to time. When we make material changes:

  • We will update the "Last updated" date at the top of this page
  • We may notify you by email or via a notice on the Site
  • Your continued use of the Site after changes take effect constitutes acceptance of the updated Terms

If we make material changes to Section 16 (Arbitration), you will have a fresh 30-day window to opt out of the updated arbitration agreement, as described in Section 16.6.

For orders placed before the updated Terms take effect, the version of the Terms that was in force at the time of your order continues to apply.

19. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions continue in full force and effect.

20. Entire agreement

These Terms, together with our [Privacy Policy], [Refund & Return Policy], [Shipping Policy], and any other policies referenced on the Site, constitute the entire agreement between you and Zero Point One LLC regarding your use of the Site and purchases of our products.
